1. Agreement & Eligibility

These Terms & Conditions (the “Terms”) are a legal agreement between you and HypeHQ (“HypeHQ,” “we,” “our,” or “us”) governing your access to and use of the HypeHQ website, applications, and related services (the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

Eligibility. The Services are intended for use by players, parents/guardians, coaches, and organizations in youth sports. Users under the age of 18 must have permission from and be supervised by a parent or legal guardian who accepts these Terms on the minor’s behalf.

2. Accounts, Parents & Youth Safety

Account Registration. You must provide accurate information and keep it updated. Do not share your password or give others access to your account.

Parental Consent & Responsibility. If you are a parent or legal guardian, you’re responsible for your child’s activity on HypeHQ. Please set appropriate permissions, review content before posting, and help your child understand online safety.

Team & Organization Controls. Team admins may set roles and approvals for posting. You agree to comply with the rules set by your team or organization.

3. Subscriptions, Billing & Renewals

Some features are offered through paid subscriptions (e.g., Player+). Purchases are processed via third‑party payment providers (e.g., Stripe) and/or entitlements management (e.g., RevenueCat).

• Billing Cycle. Subscriptions renew automatically each billing period until canceled.
• Prices & Taxes. Prices may change with notice to the email associated with your account or in‑app notice. Applicable taxes may be added.
• Cancellations. You can cancel at any time, effective at the end of the current billing period. Access to paid features continues until your current period ends.
• Refunds. Except where required by law, payments are non‑refundable. If you believe there’s a billing error, contact us.

Your use of paid features is also subject to the terms and policies of our payment partners.

4. Your Content & Licenses

Your Content. You own the content you create and upload to HypeHQ. By posting content, you grant HypeHQ a worldwide, non‑exclusive, royalty‑free license to use, reproduce, modify (e.g., for formatting), display, and distribute your content solely to operate, improve, and promote the Services. This license ends when you delete your content from the Services, except for reasonable archival/back‑up copies and where others have already shared your content.

Permissions & Releases. You’re responsible for obtaining necessary permissions to post images/video of others (especially minors), including parental/guardian consent where required by law or your organization’s rules.

Feedback. If you submit suggestions or feedback, you grant HypeHQ a perpetual, irrevocable, royalty‑free license to use it without obligation to you.

5. Acceptable Use & Prohibited Content

You agree not to misuse the Services. Prohibited behavior includes:

• Posting illegal, harassing, hateful, discriminatory, sexually explicit, or exploitative content.
• Doxxing or sharing private/personal information (addresses, precise locations, medical data).
• Bullying, threats, or encouraging self‑harm.
• Impersonation, fraud, or unauthorized account access.
• Uploading malware, scraping, or interfering with security or service integrity.
• Using the Services to violate league, school, or platform rules (e.g., social network terms).

We may remove or restrict content or accounts that violate these Terms or applicable law.

6. Intellectual Property

The Services, including software, designs, and trademarks (e.g., “HypeHQ,” logos, and brand elements) are owned by HypeHQ or its licensors and protected by law. Except for the limited rights expressly granted to you, no rights are transferred.

7. Privacy & Data

Your use of the Services is also governed by our Privacy Policy. We use data to operate the Services, improve features, and maintain safety. We do not sell personal information of users; see our Privacy Policy for details, including rights that may apply in your region.

8. Third‑Party Services

HypeHQ may integrate with third‑party services (e.g., Stripe, RevenueCat, social platforms). Your use of those services is subject to their terms and privacy policies. HypeHQ is not responsible for third‑party services.

9. Changes, Suspension & Termination

We may update the Services and these Terms from time to time. If changes are material, we will provide notice (e.g., email or in‑app). Continued use after changes take effect constitutes acceptance.

We may suspend or terminate access for violations of these Terms, suspected fraud, legal requirements, or technical/security reasons.

10. Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, HypeHQ disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non‑infringement. We do not guarantee uninterrupted or error‑free service.

11. Limitation of Liability

To the maximum extent permitted by law, HypeHQ and its affiliates will not be liable for indirect, incidental, special, consequential, or exemplary damages, or loss of profits, data, goodwill, or reputation, even if advised of the possibility of such damages. Our total liability for any claim arising out of or relating to the Services will not exceed the amounts you paid to HypeHQ for the Services in the 12 months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless HypeHQ and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your content, your use of the Services, or your violation of these Terms or applicable law.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Missouri, USA, without regard to conflict‑of‑laws principles. You agree to the exclusive jurisdiction of state and federal courts located in St. Louis County, Missouri, for any dispute not subject to informal resolution.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force.
